Welcome to the Puratos Philippines website terms of use (these “Terms”). These Terms are important and affect your legal rights, so please read them carefully.

By accessing or using the websites, mobile applications or blogs (collectively, the “Sites”) provided by or on behalf of Puratos Philippines Inc. or its affiliates (collectively, “Puratos,” “we,” “us” or “our”), you agree to be bound by the following Terms, in their entirety, when you:

1.      Use, access, or visit the Sites;

2.      Purchase or receive any good or service offered through the Sites (“Products”);

3.      Listen to, access, or view any of the text, audio, video, graphics, or other content featured on the Sites (“Content”); or

4.      Access links to or view Puratos’ social media pages or accounts on third-party social media websites, including, but not limited to, Facebook, Instagram, Pinterest, Twitter, Snapchat, and LinkedIn (“Social Media”).

PLEASE REVIEW THE TERMS CAREFULLY. IF YOU DO NOT AGREE TO THE TERMS IN THEIR ENTIRETY, YOU MAY NOT ACCESS OR OTHERWISE USE THE SITES OR ANY INFORMATION OR MATERIALS CONTAINED ON THE SITES.

YOUR USE OF THE SITES SHALL BE DEEMED TO BE YOUR AGREEMENT TO ABIDE BY THE TERMS SET FORTH BELOW. BY ACCEPTING, YOU ARE AGREEING TO EVERY PROVISION OF THIS AGREEMENT WHETHER OR NOT YOU HAVE READ IT.

Puratos reserves the right to change or modify these Terms at any time and in our sole discretion. If we make changes to these Terms, we will provide notice of such changes, by either sending an email notification, providing notice through the Sites, or updating the “Last Updated” date at the end of these Terms. By continuing to access or use the Sites or order, receive or use Products, you confirm your acceptance of the revised Terms and all of the terms incorporated therein by reference. We encourage you to review the Terms frequently to ensure that you understand the terms and conditions that apply when you access or use the Sites or order, receive or use the Products. If you do not agree to the revised Terms, you may not access or use the Sites or order, receive or use the Products.

These Terms do not alter in any way the terms or conditions of any other agreement you may have with us in respect of any products, services or otherwise. If you are using the Sites on behalf of any person or entity, you represent and warrant that you are authorized to accept these Terms on such person or entity’s behalf and that such person or entity agrees to be responsible to us if you or such person or entity violates these Terms. Such person or entity will also be referred to as “you” herein.

1. Information About Us

Puratos Philippines Inc. is a corporation registered in the Philippines with its principal office located at #14 Perfecto Avenue, Bagumbayan, Taguig City, Metro Manila.

2. Service Availability and Your Status

The Sites and Products are intended for use by persons and entities located in the Republic of the Philippines. At this time, we do not accept orders from persons outside the Philippines. By accessing or placing an order through the Sites, you represent and warrant that you:

  1. Are legally capable of entering into binding agreements under Philippine law;
  2. Are at least 18 years old (if an individual), or have obtained appropriate parental or guardian consent;
  3. Are a resident of, or an entity duly registered under the laws of, the Republic of the Philippines;
  4. Are accessing the Sites from a jurisdiction governed by Philippine law.

Puratos Philippines reserves the right to refuse access or service to users who do not meet these eligibility requirements or who attempt to use the Sites from jurisdictions outside the Philippines.

3. Use of the Sites

All content on the Sites is intended solely for your personal, non-exclusive, and non-commercial use. You may access and view the content for your own non-commercial purposes, provided that:

  1. You retain all copyright, trademark, or other proprietary notices contained in the content;
  2. You do not modify or alter the content in any way;
  3. You do not reproduce, distribute, or make the content available to any third party without prior written consent from Puratos Philippines.

No right, title, or interest in any content is transferred to you as a result of your use of the Sites. Except as expressly permitted above, you may not print, copy, download, reproduce, publish, transmit, distribute, display, modify, create derivative works from, or otherwise exploit any content or part of the Sites without prior written authorization from Puratos Philippines.

Puratos Philippines reserves the right to terminate, change, suspend, or discontinue any aspect of the Sites at any time without prior notice. This includes the availability of any features, content, or services. We also reserve the right to restrict or deny access to the Sites to any person or entity, at our sole discretion, and without liability.

This clause is aligned with the Intellectual Property Code of the Philippines (RA 8293) and the Cybercrime Prevention Act (RA 10175), which protect digital content and regulate unauthorized access or misuse of online platforms.

4. Registration/Account/Communication Preferences

To access and use certain areas or features of the Sites, you may be required to register for a Puratos Philippines account. By creating an account, you agree to:

  1. Provide accurate, current, and complete account information;
  2. Maintain and promptly update your account information as necessary;
  3. Keep your account credentials secure and confidential;
  4. Be responsible for any activity conducted through your account, including actions by third parties authorized to access your account;
  5. Immediately notify Puratos Philippines if you suspect any unauthorized access, misuse, or security breach related to your account or the Sites.

Puratos Philippines reserves the right to take any action deemed necessary to prevent, investigate, or respond to suspected fraud, abuse, or security threats. This may include suspending or terminating your account without prior notice.

By registering, you consent to receive electronic communications from Puratos Philippines, including but not limited to:

  • Transactional notices (e.g., order confirmations, password changes, account updates)
  • Legal notices and disclosures
  • Promotional messages (e.g., newsletters, offers, surveys)

These communications are part of your relationship with us and may satisfy legal requirements for written communication under the Electronic Commerce Act of 2000 (RA 8792). You may retain copies of these communications by printing or saving them electronically.

You may opt out of receiving promotional emails at any time by following the unsubscribe instructions included in each message. However, you may still receive essential transactional or legal communications related to your account.

5. Pricing

All prices displayed on the Sites are shown in Philippine Pesos (₱) unless otherwise stated. Applicable value-added tax (VAT), shipping fees, and other charges may be added at checkout and will be clearly indicated before you confirm your order.

Puratos Philippines strives to provide accurate product and pricing information. However, unintentional errors, including typographical or pricing inaccuracies, may occur. Product photos are for reference only and may depict items that are cooked, styled, or processed for presentation purposes.

We reserve the right to:

  • Correct any errors, inaccuracies, or omissions;
  • Change or update product information, pricing, availability, and descriptions at any time without prior notice—even after an order has been placed and confirmed.

In the event that a product is listed at an incorrect price or with incorrect information, Puratos Philippines reserves the right, at its sole discretion, to refuse or cancel any orders placed for that product. If your payment has already been processed for a cancelled order, we will issue a refund. The timing of the refund credit will depend on your bank or payment provider’s policies.

6. Payment Confirmation

After you place an order through the Sites using our shopping cart, we will verify the information you provide, including your payment method and shipping address. Puratos Philippines reserves the right to reject any order, limit quantities, or cancel transactions at our sole discretion, without the obligation to provide a reason. If we reject your order, we will attempt to notify you using the contact information provided.

By submitting a credit card, e-wallet, bank transfer, or any other accepted payment method, you represent and warrant that you are authorized to use the designated payment method and that you authorize Puratos Philippines (or its third-party payment processor) to charge your payment method for the total amount of your purchase, including applicable taxes and fees.

If your payment method is charged for an order that is later cancelled, we will process a refund. The timing of the refund credit will depend on your bank or payment provider’s policies.

Your receipt of an electronic or other form of order acknowledgment does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. Puratos Philippines reserves the right to accept or decline your order at any time after receipt.

If you are an existing Puratos customer with negotiated payment terms, those terms shall apply to purchases made on the Sites. For all other customers, full payment is required prior to shipment, notwithstanding anything to the contrary in Puratos’ Standard Terms and Conditions of Sale.

7. Promotions

From time to time, Puratos Philippines may offer promotions, discounts, contests, or special offers through the Sites or other communication channels, including email, SMS, or social media.

Your eligibility to participate in these promotions will be governed by:

  • These Terms;
    • Any specific terms and conditions communicated by Puratos Philippines in connection with the promotion;
    • Applicable laws and regulations, including those under the Consumer Act of the Philippines (RA 7394) and Department of Trade and Industry (DTI) guidelines on promotional activities.

Promotions may be subject to limitations, such as:

  • Validity periods;
  • Minimum purchase requirements;
  • Product exclusions;
  • Redemption limits per customer.

Puratos Philippines reserves the right to modify, suspend, or cancel any promotion at any time without prior notice. Misuse or abuse of promotional offers may result in cancellation of orders and/or suspension of your account.

8. Order Limitations

While Puratos Philippines makes every effort to ensure the accuracy of product and order information, we reserve the right to limit refunds, replacements, and order quantities, and to correct any errors that may occur. Please ensure that all shipping details provided are accurate and complete, as we are not responsible for delays or failed deliveries due to incorrect information.

Puratos Philippines may, at its sole discretion, limit or cancel quantities purchased per individual, household, or order. These limitations may apply to:

  • Orders placed using the same customer account;
  • Orders using the same payment method;
  • Orders with identical billing and/or shipping addresses.

If we make changes to an order (such as quantity adjustments or cancellations), we will notify you using the contact details provided during checkout or account registration.

These practices are consistent with the principles of the Consumer Act of the Philippines (RA 7394), which supports fair and transparent business policies that protect both consumers and businesses from abuse, fraud, and operational challenges such as to implement fair limitations to prevent abuse, fraud, or inventory issues.

9. Delivery

Unless otherwise agreed in writing by Puratos Philippines, all prices are considered Ex-Works (EXW) from Puratos’ designated shipping point in the Philippines. Upon proper handover of the Products to the designated courier or logistics provider, title and risk of loss or damage shall pass to you, regardless of the mode of shipment, payment terms, or who bears the transportation costs.

Puratos Philippines shall not be liable for delays, damages, or losses occurring during transit once the Products have been duly tendered to the carrier. You are responsible for ensuring that the shipping address provided is accurate and complete. Any errors in delivery resulting from incorrect address details shall be your responsibility.

Delivery timelines are estimates only and may vary depending on location, courier availability, and external factors such as weather, holidays, or government restrictions.

10. Terms and Condition of Sale

All purchases and sales of Products made through the Sites shall be governed by Puratos Philippines’ Standard Terms and Conditions of Sale, which are incorporated into these Terms by reference.

Any terms and conditions contained in prior oral or written communications between you and Puratos—including but not limited to quotations, purchase orders, or other agreements—that differ from Puratos’ Standard Terms and Conditions of Sale shall not be binding unless expressly agreed to in writing by Puratos Philippines.

The failure of Puratos Philippines to object to any terms and conditions provided by you shall not be construed as acceptance of such terms. By placing an order or accepting delivery of Products from Puratos Philippines, you are deemed to have accepted and agreed to be bound by our Standard Terms and Conditions of Sale.

These provisions are consistent with the Civil Code of the Philippines and commercial law principles governing contracts and sales transactions.

11. Force Majeure

Puratos Philippines shall not be liable or responsible for any failure to perform, or delay in the performance of, any of its obligations under these Terms due to events beyond its reasonable control (“Force Majeure Event”).

A Force Majeure Event includes, but is not limited to:

  1. Strikes, lockouts, or other labor disputes;
  2. Civil unrest, riots, invasion, war, or threats thereof;
  3. Acts of terrorism or threats of terrorist activity;
  4. Fire, explosion, flood, typhoon, earthquake, or other natural disasters;
  5. Epidemics, pandemics, or public health emergencies;
  6. Disruption or unavailability of transportation, logistics, or communication networks;
  7. Acts, regulations, or restrictions imposed by any government authority or agency.

Performance under these Terms shall be deemed suspended for the duration of the Force Majeure Event. Puratos Philippines will make reasonable efforts to resume operations and fulfill its obligations as soon as the event concludes or a viable solution is found.

This clause is consistent with the Civil Code of the Philippines and recognized commercial practices regarding unforeseen and uncontrollable events.

12. Copyrights and Trademarks

“Puratos,” along with related product and service names, design marks, and slogans, are registered trademarks of Puratos N.V. and may not be used without prior written permission.

Unless otherwise stated, all content on the Sites—including text, images, graphics, logos, videos, and other materials—is protected as copyrights, trademarks, service marks, trade names, or other intellectual property owned, controlled, or licensed by Puratos Philippines, its affiliates, or third-party licensors. These are protected under the Intellectual Property Code of the Philippines (RA 8293) and applicable international treaties.

Unauthorized duplication, reproduction, or use of any content is a violation of law. No rights in any content, including trademarks, service marks, or trade names, are granted to you in connection with your use of the Sites. Puratos Philippines, its affiliates, and licensors expressly reserve all intellectual property rights in all content.

Puratos Philippines maintains a zero-tolerance policy regarding the misuse of its trademarks or brand names in metatags, hidden text, or other deceptive practices. The use of Puratos trademarks or names in metatag keywords or page text for the purpose of manipulating search engine rankings may constitute trademark infringement and unfair competition under Philippine law.

13. Prohibited Uses

You are strictly prohibited from engaging in any activity that compromises the integrity, security, or lawful use of the Sites. This includes, but is not limited to:

  • Tampering with the Sites or misrepresenting your identity;
  • Using buying agents or conducting fraudulent transactions;
  • Attempting unauthorized access to data, servers, or accounts;
  • Probing, scanning, or testing the vulnerability of the Sites or any connected network;
  • Breaching security or authentication measures without proper authorization;
  • Interfering with service to any user, host, or network, including through the transmission of viruses, denial-of-service attacks, “flooding,” “mailbombing,” or “crashing”;
  • Sending unsolicited communications, including spam, advertisements, or promotional materials;
  • Forging headers or manipulating identifiers in emails or other communications to disguise origin.

Violations of system or network security may result in civil and criminal liability under Philippine law. Puratos Philippines reserves the right to investigate any such violations and may cooperate with law enforcement authorities in prosecuting individuals or entities involved.

These prohibitions are in accordance with the Cybercrime Prevention Act (RA 10175), which penalizes illegal access, data interference, system interference, and other cyber offenses.

14. Privacy and Your Information

You can find out how we collect, use, share, and protect your personal information in our Data Protection Policy and Cookie Policy, which are incorporated into these Terms.

By entering into this agreement and using the Sites, you agree to the processing of your personal data in accordance with our Privacy Policy, which complies with the Data Privacy Act of 2012 (RA 10173) and is overseen by the National Privacy Commission (NPC).

Puratos Philippines is committed to ensuring that your personal data is handled securely, lawfully, and transparently. You have the right to access, correct, and request deletion of your personal data, as well as to withdraw consent or file complaints with the NPC if you believe your data privacy rights have been violated.

15. Indemnification

You agree to defend, indemnify, and hold harmless Puratos Philippines, its affiliates, parent entities, officers, directors, employees, agents, licensors, contractors, distributors, and other authorized representatives (collectively, “Puratos Associates”) from and against any and all claims, liabilities, losses, damages, demands, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Sites or Products;
  • Any violation of these Terms;
  • Any breach of applicable laws or regulations;
  • Any misuse of content or data obtained from the Sites.

Puratos Philippines reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate fully with Puratos in the defense of any such claim.

You also agree to promptly notify Puratos Philippines of any third-party claims, assist in defending such claims, and bear all related costs, including attorney’s fees, court expenses, settlement costs, and any other legal or administrative fees incurred.

This indemnity is in addition to, and not in substitution for, any other indemnities provided in a separate written agreement between you and Puratos Philippines.

16. Disclaimer(s)

The Sites are provided on an “as is” and “as available” basis. Puratos Philippines and its affiliates make no warranties or representations, express or implied, regarding the operation of the Sites or the accuracy, completeness, or reliability of any content, product information, or services provided.

We do not guarantee that access to the Sites will be uninterrupted, secure, or error-free. Technical inaccuracies, typographical errors, or omissions may occur, and product images may differ from actual items due to styling or presentation.

All product pricing, specifications, and availability are subject to change without prior notice. In the event of an error, Puratos Philippines reserves the right, at its sole discretion and subject to these Terms, to:

  • Correct the error;
  • Revise your order accordingly (including charging the correct price); or
  • Cancel your order and issue a refund or credit.

Refund processing timelines may vary depending on your bank or payment provider’s policies. We are not liable for any inconvenience caused by such corrections or cancellations.

This disclaimer is consistent with the Consumer Act of the Philippines (RA 7394) and the E-Commerce Act (RA 8792), which recognize the limitations of digital platforms and allow for reasonable corrections in good faith.

17. Limitation of Liability; Release

To the fullest extent permitted by applicable Philippine law, Puratos Philippines and its affiliates shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from:

  • Your use of or inability to use the Sites or any content (including user-generated content, third-party content, or content from linked external websites);
  • The ordering, receipt, or use of any product;
  • Any reliance on information obtained from the Sites;
  • Events beyond Puratos’ reasonable control, including but not limited to service interruptions, data loss, system errors, viruses, or delays in transmission.

This limitation of liability applies regardless of the legal basis of the claim—whether in contract, tort (including negligence), or otherwise—and even if Puratos Philippines has been advised of the possibility of such damages.

You, on behalf of your heirs, legal representatives, and assigns, hereby release and discharge Puratos Philippines from any and all claims, liabilities, or damages arising out of or related to your use of the Sites or Products, to the extent permitted by law.

This limitation includes, but is not limited to, damages related to:

  • Personal injury;
  • Pain and suffering;
  • Emotional distress;
  • Business interruption;
  • Loss of profits, revenue, data, goodwill, or anticipated savings.

In jurisdictions within the Philippines where certain limitations on liability are not allowed, Puratos Philippines’ liability shall be limited to the maximum extent permitted by law, in accordance with the Civil Code of the Philippines and relevant jurisprudence.

18. Governing Law and Venue

These Terms, and any disputes arising between you and Puratos Philippines in connection with your use of the Sites, the Products, or any related services—including but not limited to issues concerning billing, service, privacy, advertising, or communications—shall be governed by the laws of the Republic of the Philippines, without regard to conflict of law principles.

Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively before the courts of Taguig City, Metro Manila, Philippines. You hereby waive any objections to the jurisdiction and venue of such courts, including claims of inconvenient forum.

This clause is consistent with the Rules of Court, the Electronic Commerce Act of 2000 (RA 8792), and the Internet Transactions Act of 2023 (RA 11967), which collectively govern digital transactions and dispute resolution in the Philippine jurisdiction.

19. Copyright Infringement Notice (Philippine Equivalent of DMCA)

If you are the copyright owner or an authorized representative and believe that any content, material, or communication on the Sites infringes upon your intellectual property rights, you may submit a written notice of infringement pursuant to the Intellectual Property Code of the Philippines (RA 8293) and the E-Commerce Act (RA 8792).

Your notice should include the following information:

  1. An electronic or physical signature of the copyright owner or the person authorized to act on their behalf;
  2. A description of the copyrighted work that you claim has been infringed;
  3. A description of the location of the allegedly infringing material on the Sites;
  4. Your full name, address, telephone number, and email address;
  5. A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law;
  6. A statement made under oath or penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Puratos Philippines will review your complaint and, if valid, may take appropriate action including removing or disabling access to the infringing content. We may also forward your notice to the alleged infringer and notify you of any counterclaims or responses.

Important: Knowingly submitting false claims of infringement may result in legal liability under Philippine law, including civil damages and penalties under RA 8293 and RA 10175 (Cybercrime Prevention Act).

20. Severability and Waiver

If any provision of these Terms is determined by a court of competent jurisdiction in the Philippines to be invalid, unlawful, or unenforceable to any extent, such provision shall be severed from the remaining Terms. The remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

No waiver by Puratos Philippines of any provision in these Terms shall be deemed a continuing waiver of such provision or a waiver of any other provision. Any failure by Puratos Philippines to assert a right or enforce a provision under these Terms shall not constitute a waiver of such right or provision.

This clause is consistent with the Civil Code of the Philippines, which recognizes the principle of partial enforceability and the preservation of contractual intent.

21. Miscellaneous

These Terms, along with any documents expressly referenced herein (including the Privacy Policy, Cookie Policy, and Standard Terms and Conditions of Sale), constitute the entire agreement between you and Puratos Philippines regarding your use of the Sites and supersede all prior discussions, communications, negotiations, or agreements—whether oral or written—relating to the subject matter.

You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Puratos Philippines. Any attempted assignment without such consent shall be null and void.

Except as otherwise provided in these Terms, this agreement is intended solely for the benefit of the parties and does not confer any rights or remedies upon any third party.

This clause is consistent with the Civil Code of the Philippines, which governs contract formation, interpretation, and enforceability.

22. Comments and Feedback

All comments, feedback, suggestions, ideas, and other submissions disclosed, submitted, or offered to Puratos Philippines through the Sites or other communication channels (collectively, “Comments”) shall become the exclusive property of Puratos Philippines, which may use such Comments for any purpose, including commercial, marketing, or product development purposes.

By submitting Comments, you assign to Puratos Philippines all worldwide rights, title, and interest in any intellectual property contained in the Comments, including copyrights and related rights. Puratos Philippines shall have no obligation to maintain the confidentiality of any Comments or to compensate you for their use.

You represent and warrant that your Comments:

  • Do not infringe on the rights of any third party, including copyright, trademark, privacy, or other proprietary rights;
  • Are lawful, original, and submitted voluntarily;
  • Are your sole responsibility, and you remain liable for any legal consequences arising from them.

This clause is consistent with the Intellectual Property Code of the Philippines (RA 8293) and the Cybercrime Prevention Act (RA 10175), which govern digital content ownership and liability.
